Terms of Service

These Terms of Service ("Terms") govern your access to and use of ArguFight, an AI-judged competitive debate platform available on the web and through our iOS and Android applications (collectively, the "Platform"). The Platform is operated by Donkey Ideas ("ArguFight," "we," "us," or "our"). [Legal entity name and address — to be completed by counsel].

1. Acceptance of Terms

By accessing or using the Platform, creating an account, or otherwise indicating your acceptance, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

These Terms incorporate by reference our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you also agree to the Privacy Policy.

2. Eligibility & Age

You must be at least 13 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement. The Platform is not directed to and is not intended for children under the age of 13.

If you are under the age of majority in your jurisdiction, you may use the Platform only with the involvement and consent of a parent or legal guardian.

3. Accounts & Security

To use certain features, you must register for an account using an email address, username, and password. You agree to:

• Provide accurate, current, and complete information when registering and keep it up to date
• Maintain the confidentiality and security of your account credentials
• Be responsible for all activity that occurs under your account
• Notify us promptly at info@donkeyideas.com of any unauthorized use of or access to your account
• Maintain only one account per person, unless we expressly authorize otherwise

4. License to Use the Platform

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use. This license does not permit you to resell, redistribute, reverse engineer, or create derivative works from the Platform except as permitted by applicable law.

5. User Content & License Grant

You retain ownership of the arguments and other content you submit to the Platform ("User Content"). By submitting User Content, you grant ArguFight a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and promote that content in connection with operating and marketing the Platform, including in publicly shared rulings and recap images.

You represent and warrant that you have all necessary rights to submit your User Content and to grant the license above, and that your User Content does not violate these Terms or any applicable law.

You acknowledge that certain information is publicly visible on the Platform, including your debate content, username, ELO rating, and championship belts.

6. Acceptable Use & Prohibited Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Post or transmit content that is unlawful, harmful, threatening, abusive, harassing, or otherwise objectionable
• Infringe or violate the intellectual property or other rights of any person or entity
• Distribute spam, malware, or unauthorized advertising or promotional material
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Cheat or manipulate debates, verdicts, votes, ELO ratings, or championship belts
• Access the Platform through automated means, scrape, or deploy bots without our express authorization
• Circumvent, disable, or interfere with moderation, security, or other features of the Platform
• Violate any applicable local, national, or international law or regulation

7. AI-Generated Verdicts & Rankings

Debate verdicts on the Platform are generated by artificial intelligence systems and are provided for entertainment and skill-building purposes only. Verdicts are provided "as is," with no warranty of accuracy, impartiality, or fitness for any particular purpose, and do not constitute professional, legal, or factual advice.

Verdicts are final and not subject to appeal. You acknowledge that AI systems may produce results that are incomplete, inconsistent, or otherwise imperfect.

ELO ratings and championship belts reflect in-platform status only. They have no monetary value and cannot be redeemed, transferred, or exchanged for cash or any other consideration.

8. Coins, Tips & Subscriptions

Coins. "Coins" are a platform virtual currency used for in-app features such as boosts, cosmetics, and entries. Coins have no real-world monetary value, are non-transferable, and cannot be redeemed or exchanged for cash.

Tips. "Tips" are optional real-money (USD) payments a user may send to creators. Tips are processed by Stripe and are subject to Stripe's terms and applicable fees.

Subscriptions and purchases. ArguFight may offer paid subscription tiers (such as a PRO tier) and other purchases.

All purchases are final and non-refundable except where required by applicable law. Purchases made through the Apple App Store or Google Play are also governed by those stores' terms and billing rules.

9. Creator, Advertiser & Brand Programs

We may offer programs for creators, advertisers, and brands. Participation in these programs is subject to additional terms. ArguFight does not guarantee any earnings or income from participation in any program.

AI verdicts remain independent of any sponsorship, advertising, or brand relationship. For more information, see our Verdict Independence policy.

10. Third-Party Services

The Platform relies on third-party services, including Stripe for payment processing, the Apple App Store and Google Play for app distribution and billing, and third-party artificial intelligence providers for generating verdicts. Your use of these services may be subject to their respective terms and policies. We are not responsible for the acts, omissions, or content of third-party services.

11. Intellectual Property & Trademark

The Platform, including its software, design, and content (excluding User Content), is owned by the operator and is protected by intellectual property laws. ARGUFIGHT is a trademark of the operator.

Except for the limited license granted to you in these Terms, no rights, title, or interest in or to the Platform are transferred to you. You may not use our trademarks, logos, or branding without our prior written permission.

12. Copyright & DMCA

We respect the intellectual property rights of others. If you believe that content on the Platform infringes your copyright, you may submit a takedown notice to info@donkeyideas.com.

Your notice should include: identification of the copyrighted work; identification of the allegedly infringing material and its location on the Platform; your contact information; a statement that you have a good-faith belief that the use is not authorized; a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner; and your physical or electronic signature.

We may remove allegedly infringing content and, in appropriate circumstances, terminate the accounts of repeat infringers.

13. Moderation & Enforcement

We may, but are not obligated to, review, monitor, remove, or restrict User Content and may suspend or terminate accounts for violations of these Terms or for conduct we determine to be harmful to users, the Platform, or third parties. We may take these actions with or without notice and at our sole discretion.

14. Termination

You may stop using the Platform at any time and may delete your account. For account deletion, see /delete-account.

We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination — including ownership, license grants, disclaimers, limitation of liability, and indemnification — will survive.

15. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranty of any kind. To the maximum extent permitted by law, ArguFight disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free.

16. Limitation of Liability

To the maximum extent permitted by law, ArguFight shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, resulting from your use of or inability to use the Platform.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Platform shall not exceed [liability cap — to be set by counsel].

17. Indemnification

You agree to indemnify, defend, and hold harmless ArguFight and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your User Content, your use of the Platform, or your violation of these Terms or any applicable law.

19. Changes to These Terms

We may update these Terms from time to time. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. We will notify users of material changes via email or in-platform notice.

20. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and ArguFight regarding the Platform. We may assign these Terms without restriction; you may not assign them without our prior written consent. Our failure to enforce any provision is not a waiver of that provision.
